PodoLay Terms of Service
1. Purpose
These terms set out the conditions for using PodoLay (the "Service"), a web-based print layout editor provided by Podo Co., Ltd. (the "Company"), and the rights, obligations and responsibilities of the Company and its users.
2. Definitions
- "Service" means the document editing, storage and PDF export features, and everything ancillary to them, provided at podolay.com and related domains.
- "User" means a member who uses the Service under these terms.
- "Content" means any material a User uploads or creates in the Service — documents, images, fonts, color swatches and the like.
- "Plan" means a tier (Free, Starter, Pro, etc.) that defines the scope and limits of use; details are published on the Pricing page.
3. Publication and changes to the terms
- The Company publishes these terms in the Service.
- The Company may amend these terms within the limits of applicable law. Amendments are announced at least 7 days before they take effect, with the effective date and reasons; amendments unfavorable to Users are announced at least 30 days in advance and also by email.
- A User who does not object before the effective date is deemed to have accepted the amended terms. A User who does not accept may stop using the Service and close the account.
4. Registration and accounts
- Users register with an email address and must complete email verification before using the Service.
- Persons under 14 years of age may not register.
- Users are responsible for their account and password and may not transfer or lend the account to a third party.
- The Company may refuse registration or suspend an account when someone else's information is used, when these terms or applicable law are violated, or when the operation of the Service is disrupted.
5. Provision and changes of the Service
- The Service is intended to be available 24 hours a day, every day, but may be interrupted for maintenance, failures or network conditions; the Company gives advance notice where possible.
- The Company may add or change features and gives advance notice of changes that materially affect Users.
- Each Plan has usage limits (number of documents, storage, PDF exports, etc.), shown on the Pricing page and on the account's Plan page.
6. Plans and payment
- Prices of paid Plans are shown on the Pricing page and include VAT where applicable.
- Paid Plans are monthly subscriptions that renew automatically. Unless cancelled, the registered payment method is charged each billing period.
- Payments, invoices and receipts are handled by the Company's Merchant of Record, Paddle.com Market Limited (UK) and its affiliates. Paddle's terms also apply to the purchase, and your statement will show "PADDLE.NET* PODOLAY".
- The Company may change prices. Price increases are announced at least 30 days before they take effect, also by email, and apply to existing subscribers from their next renewal.
- Upgrades and downgrades are prorated for the remainder of the billing period.
- Users on a paid Plan may add add-ons such as extra storage to their subscription. Add-on prices are shown on the Pricing page, and add-ons are billed together with the Plan on the same billing date. Adding or increasing an add-on mid-cycle adds the prorated amount for the rest of the period to the next payment; reducing it deducts the difference from the next payment. Add-ons end when the subscription ends.
- The Company may sell one-time passes such as PDF passes and AI assistant passes. A pass is used one at a time after the Plan's limit has been used up, and passes do not expire. Users without a paid subscription pay at purchase; users on a paid Plan are billed together with the Plan on the next billing date (or immediately if their subscription is set to cancel). Remaining passes lapse when the account is closed.
7. Withdrawal and refunds
Withdrawal and refund conditions and procedures follow the Refund Policy, which forms part of these terms.
8. Cancellation and end of a Plan
- Users may cancel a subscription at any time. After cancellation the paid Plan stays until the next billing date, then the account moves to the Free Plan.
- Moving to the Free Plan or exceeding a limit never deletes existing documents or files. While over a limit, however, Users cannot create new documents or files or use some features.
- If a payment fails, the Company allows a 7-day grace period with retries; if payment is not made within the grace period, the account moves to the Free Plan.
9. Rights and responsibilities for Content
- Users retain copyright in Content they upload or create. The Company processes Content only as needed to provide the Service (storage, display, PDF conversion, backup).
- Users must hold the rights needed for the images, fonts and other materials they upload, and are responsible for any infringement of third-party rights. Only fonts whose license permits conversion and embedding on the Company's servers may be uploaded.
- Except where required by law or a lawful request, the Company does not view Users' Content and does not provide it to third parties.
10. Prohibited conduct
Users may not: create or distribute Content that infringes the rights of others; exploit vulnerabilities or place abnormal load on the servers; create accounts in bulk by automated means; resell the Service or share an account with third parties; or act in violation of applicable law or public order.
11. Discontinuation and data
- If the Company discontinues the Service or removes a major feature, it gives at least 30 days' notice, also by email.
- Users can download their documents as PDF at any time. After announcing discontinuation, the Company keeps Content downloadable for 30 days.
- The Company backs up data daily, but Users are advised to keep their own copies of important Content.
12. Limitation of liability
- The Company is not liable for failure to provide the Service due to causes beyond its control, such as natural disasters, network failures or failures of third-party services (payment processing, cloud infrastructure, etc.).
- The Company is not liable for problems caused by the User, nor for the results of printed material produced with the Service, including differences in color or trimming arising from the print shop's process. Before printing, check the preflight report and soft proof, and obtain a press proof from your print shop where needed.
- To the extent permitted by law, the Company's liability is limited to the amount the User paid to the Company in the preceding 12 months.
13. Personal data
The Company protects Users' personal data in accordance with the Privacy Policy.
14. Disputes
- Disputes between the Company and Users are governed by the laws of the Republic of Korea.
- Disputes are first addressed through customer support (support@podo.it.kr); if unresolved, they may be brought before the court having jurisdiction under the Civil Procedure Act. Users may also apply for mediation with bodies such as the Korea Consumer Agency.
Supplementary provisions
These terms take effect on 2026-10-03.
